Terms & Conditions of Logistics and Transportation Services 

Effective Date: 11/4/2025 

These Terms & Conditions ("Terms") govern the logistics, warehousing, fulfillment, and transportation coordination services provided by St James Cellars LLC ("SJC," "we," "our," or "us"). By requesting shipment or utilizing any logistics or fulfillment services arranged by SJC, you ("Customer," "you," or "your") agree to be bound by these Terms. 

 

1. Our Role 

St James Cellars LLC ("SJC") provides warehousing, fulfillment, logistics, and coordinating transportation services. 

SJC is not a retailer of alcoholic beverages and does not advertise, market, solicit, or sell alcoholic beverages to consumers. 

SJC's role is limited to storing products, preparing orders for shipment, and coordinating transportation as authorized by the Customer. 

2. Relationship of the Parties 

The Customer's purchase of alcoholic beverages is made directly from a licensed retailer through that retailer's website. SJC is not a party to the retail sale and does not sell, market, or transfer ownership of alcoholic beverages to Customers. 

SJC's involvement may begin only after the Customer has requested shipment of products purchased from a licensed retailer. In providing warehousing, fulfillment, and transportation coordination services, SJC acts solely as an independent logistics provider. 

These Terms govern only the services provided by SJC and do not modify or replace the terms and conditions governing the Customer's purchase from a licensed retailer. 

 

3. Transportation Coordination 

At the Customer's request, SJC may arrange transportation through one or more independent third-party logistics providers or common carriers selected by SJC. The specific carrier utilized may vary depending on destination, service availability, transit requirements, weather conditions, or other operational considerations. SJC does not own or operate transportation services and does not itself transport alcoholic beverages. 

 

4. Customer Authorization 

By selecting shipment during checkout or otherwise requesting transportation, you expressly authorize SJC to arrange transportation of your order through an independent third-party carrier on your behalf. 

You acknowledge that: 

  • You are requesting transportation of products you have lawfully purchased from a licensed retailer. 

  • SJC is acting solely as your logistics and transportation coordinator. 

  • Transportation services are performed by independent carriers and not by SJC. 

  • Carrier selection shall be made at SJC's reasonable discretion unless otherwise agreed. 

 

5. Customer Responsibilities 

The Customer represents and warrants that: 

  • They are at least twenty-one (21) years of age. 

  • The recipient of the shipment is at least twenty-one (21) years of age. 

  • The Customer is legally permitted to receive alcoholic beverages at the delivery destination. 

  • Shipment, receipt, possession, and use of the products complies with all applicable federal, state, and local laws. 

 

SJC makes no representation regarding the legality of shipments to any jurisdiction and reserves the right to refuse or cancel any shipment that may violate applicable law or carrier policies. 

 

6. Title and Transportation 

The Customer acknowledges that SJC is not the seller of the products being transported. 

SJC performs logistics and fulfillment services only after the Customer has completed a purchase from a licensed retailer. 

Transportation is arranged solely as a convenience for the Customer and only upon the Customer's authorization. 

 

7. Weather Protection 

Wine and other alcoholic beverages are sensitive to temperature extremes. SJC may hold shipments due to adverse weather conditions in the Washington DC area, at the final destination or at any point along the route, in order to preserve the quality and condition of your shipment. To reduce the likelihood of  shipments resting in third party carrier’s warehouses over weekends, shipments generally depart Monday through Wednesday. If a Customer elects to proceed with shipment against SJC's recommendation, by accepting and agreeing to any applicable weather waiver, the Customer assumes all risk for any resulting damage to the products. 

 

8. Delivery Requirements 

An adult twenty-one (21) years of age or older must be present to accept delivery. 

Government-issued photo identification may be required by the carrier. 

Deliveries cannot be made to: 

  • P.O. Boxes 

  • APO/FPO addresses 

  • Locations where adult signature requirements cannot be satisfied 

  • Any destination prohibited by carrier policy or applicable law 

 

Failed delivery attempts, returned shipments, storage charges, or redelivery fees may result in additional charges payable by the Customer. 

 

9. Property Protection 

Where available, optional Property Protection may be offered during the checkout process on  a licensed retailer's website for shipments coordinated by SJC. The terms, limitations, exclusions, and claims procedures applicable to Property Protection will be provided during the checkout process on a  retailer's website. Customers who decline Property Protection acknowledge that their shipment will be transported without the benefit of optional Property Protection and they are responsible for all loss and damage to purchased goods. Where offered, Customers may elect to purchase optional Property Protection during checkout. 

Property Protection is optional and is not included unless expressly selected by the Customer. 

The terms, limitations, exclusions, and claims procedures applicable to Property Protection shall be provided at the time of purchase. Customers who decline Property Protection acknowledge that shipments will be transported without such optional coverage. 

10. Independent Carriers 

Transportation services are performed exclusively by independent third-party carriers. SJC does not control carrier operations, routing decisions, delivery schedules, handling procedures, staffing, scanning events, or delivery practices. 

 

Accordingly, SJC shall not be responsible for: 

  • Carrier delays 

  • Missed delivery appointments 

  • Weather delays 

  • Lost shipments 

  • Theft 

  • Damage occurring during transportation 

  • Breakage 

  • Product spoilage 

  • Failed delivery attempts 

  • Regulatory inspections or holds 

  • Acts or omissions of any carrier 

 

Estimated delivery dates are estimates only and are not guaranteed. 

 

11. Limitation of Liability 

To the fullest extent permitted by applicable law, SJC shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising out of or relating to its logistics or transportation coordination services. 

 

Without limiting the foregoing, SJC shall not be liable for any loss arising from: 

  • actions or omissions of third-party carriers; 

  • weather events; 

  • delays in transportation; 

  • governmental action; 

  • customs or regulatory inspections; 

  • force majeure events; or 

  • the Customer's failure to comply with applicable laws or carrier requirements. 

 

If SJC is determined to be liable notwithstanding the foregoing, SJC's total aggregate liability shall not exceed the amount paid directly to SJC for the logistics services giving rise to the claim. 

 

12. Force Majeure 

SJC shall not be responsible for delays or failure to perform caused by events beyond its reasonable control, including but not limited to: 

  • severe weather; 

  • natural disasters; 

  • labor disputes; 

  • transportation interruptions; 

  • government action; 

  • public health emergencies; 

  • cyber incidents; 

  • utility failures; 

  • acts of terrorism; or 

  • any other force majeure event. 

 

13. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to conflict of law principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located within the District of Columbia. 

 

14. Changes to These Terms 

SJC reserves the right to modify these Terms at any time. Revised Terms shall become effective immediately upon posting to the SJC website unless otherwise stated. Continued use of SJC's services constitutes acceptance of the revised Terms. 

15. Severability 

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
